(A) A quorum of shareholders is present;

(B) The shareholders' capital contribution reaches the lower limit of the statutory capital;

二、股东出资达到法定资本低限额;

(C) The shareholders jointly draw up the articles of association;

三、股东共同制定公司章程;

(D) have a company name and establish an organizational structure that meets the requirements of a limited liability company ;

四、有公司名称，建立符合有限责任公司要求的组织机构;

(E) have a company residence ;

五、有公司住所;

(F) Approved for establishment by the government approval authority.

六、经政府审批机关批准设立的。

The following conditions shall apply to the establishment of a foreign-invested company limited by shares.

设立外商投资股份有限公司，应当具备下列条件：

(A) A quorum of promoters is present ;

一、发起人符合法定人数;

(B) The share capital subscribed and raised by the promoters reaches the lower limit of the authorized capital;

二、发起人认购和募集的股本达到法定资本低限额;

(C) The issue of shares, the preparation of matters in accordance with the law ;

三、股份发行、筹办事项符合法律规定;

(D) The promoters to draw up the articles of association, the establishment of the way of raising by the founding meeting adopted;

四、发起人制订公司章程，采用募集方式设立的创立大会通过;

(E) Have a company name and establish an organizational structure that meets the requirements of a joint stock company;

五、有公司名称，建立符合股份有限公司要求的组织机构;

(F) Have a company residence ;

六、有公司住所;

(G) Approved for establishment by the government approval authority.
